BUZ Software – Terms & Conditions

Welcome to BUZ, an online customer relationship management and enterprise resource planning service designed for small and medium‑sized businesses.
These Terms & Conditions (the “Terms”) govern your access to and use of the BUZ software, websites and related services (the “Service”).
By registering for, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms.
If you do not agree, you must not use the Service.
1. Definitions
- Agreement
- These Terms & Conditions.
- Access Fee
- The recurring subscription fee (excluding GST and other taxes) payable in accordance with pricing published on the Website, as updated from time to time.

- All non‑public information disclosed by one party to the other in connection with this Agreement, including business, technical and commercial information, but excluding information that becomes public other than through breach, is independently developed, or is lawfully obtained from a third party.
- Data
- All data, content, records and information entered into, uploaded to, or generated within the Service by or on behalf of you (including by Invited Users), including any personal information you input about customers, suppliers or staff.
- Invited User
- A person authorised by the Subscriber to access the Service under the Subscriber’s account.
- Intellectual Property Rights
- All intellectual and industrial property rights, whether registered or unregistered, including copyright, trade marks, designs, trade secrets and know‑how.
- Security Incident
- An actual unauthorised access to or acquisition of Data within the Service, or a confirmed compromise of the Service’s security leading to a material risk to Data confidentiality, integrity or availability.
- Service
- The BUZ software‑as‑a‑service platform and all related services, features, updates, APIs (if any), documentation, support and training we provide.
- Subscriber / you / your
- The individual or entity that registers for the Service and is responsible for the subscription and all Invited Users.
- Subprocessor
- A third‑party service provider engaged by BUZ to process Data on BUZ’s behalf to provide the Service (for example, cloud hosting, monitoring, email delivery or backup services).
- Website

2. Licence and Use of the Service
2.1 Licence Grant
BUZ grants you a non‑exclusive, non‑transferable licence to access and use the Service during the term of this Agreement,
subject to these Terms and payment of all applicable Access Fees.
BUZ may suspend or terminate access only in accordance with these Terms.
2.2 User Management
- The Subscriber determines who is an Invited User and their level of access.
- The Subscriber is responsible for all activity carried out under its account, including activity by Invited Users.
- Access may be changed or revoked at any time.
- Where there is a dispute between a Subscriber and an Invited User, the Subscriber’s decision prevails.
2.3 Per‑Seat Licensing
All licences are per seat (per user). Each user must have their own licence.
Licence sharing is prohibited.
2.4 Licence Compliance and Verification
BUZ may, on reasonable notice, verify your use of the Service to confirm compliance with your subscription,
including user counts, roles and permissions.
Where excess usage is identified, you agree to promptly purchase the required additional licences at BUZ’s then‑current rates.
2.5 Acceptable Use
You must not, and must ensure that Invited Users do not:
- compromise the security, integrity or availability of the Service, including by vulnerability scanning, penetration testing, denial‑of‑service, or attempting to bypass authentication or access controls;
- interfere with or disrupt the Service or other users, including by automated scraping, bots, abusive API calls, or excessive load outside normal use;
- attempt to gain unauthorised access to any system, data, account, or network connected to the Service;
- upload or transmit malicious, unlawful, infringing, defamatory, or offensive material, or material that violates privacy or confidentiality obligations;
- reverse engineer, decompile, copy, modify, adapt, reproduce, or create derivative works of the Service except as permitted by law;
- use the Service to build a competing product or to benchmark BUZ for publication without BUZ’s prior written consent;
- process regulated or sensitive personal data (including health, biometric, or payment card data) unless expressly agreed in writing;
- use the Service in a way that would cause BUZ to breach applicable laws or third‑party rights.
2.6 Service Changes
BUZ may modify, improve, replace or remove features of the Service from time to time.
BUZ will use reasonable efforts to avoid materially reducing core functionality without reasonable notice,
except where urgent changes are required for security, legal, operational or technical reasons.
2.7 Usage Limits / Fair Use
BUZ may apply reasonable usage limits (for example, storage, transaction volumes, or API rate limits if applicable) to protect Service performance and other customers. If limits apply to your subscription, BUZ will make reasonable efforts to notify you.
2.8 AI / Automated Use
You must not use the Service to unlawfully collect Data about individuals, to create or train models in a manner that violates privacy, confidentiality, or intellectual property rights, or to circumvent BUZ security controls.
BUZ will not use your identifiable Data to train BUZ’s general AI/ML models without your permission; BUZ may use de‑identified and aggregated usage data to improve the Service.
3. Access Fees and Payment
3.1 Billing and Payment
- Access Fees are billed monthly in advance unless otherwise agreed in writing.
- Invoices are payable within 7 days of issue unless otherwise stated on the invoice.
- GST and applicable taxes are payable in addition to the Access Fee.
3.2 Pricing Changes
BUZ may change pricing by providing reasonable notice (for example, by email or in‑app notification).
Unless stated otherwise, pricing changes take effect from the next billing period.
3.3 Pro‑Rata Adjustments
Pro‑rata adjustments may apply if licences are added or removed during a billing period, or if subscription levels change.
3.4 Disputed Invoices
Invoice disputes must be raised in writing within 7 days of invoice issue. You must pay any undisputed portion by the due date.
3.5 Overdue Amounts
BUZ may suspend access and recover reasonable costs if payment is overdue. BUZ may charge interest on overdue amounts at a reasonable rate permitted by law.
3.6 No Refunds
Except where required by law, fees are non‑refundable and no refunds are provided for partially used billing periods. No refunds or credits apply following cancellation, including where cancellation is immediate.
4. Confidentiality and Privacy
Each party must protect the other’s Confidential Information. Confidentiality does not apply to information that is public,
independently developed, lawfully received, or required to be disclosed by law.
Personal information is handled in accordance with BUZ’s Privacy Policy (as updated from time to time).
5. Data and Intellectual Property
5.1 Data Ownership and Licence
You retain ownership of your Data. You grant BUZ a non‑exclusive licence to host, process, transmit, store and back up your Data solely to provide the Service and related support.
5.2 Your Responsibilities for Data
You are responsible for the accuracy, legality and appropriateness of Data you input, including having the right to upload Data and to allow BUZ to process it. You are responsible for maintaining backups and exports of Data.
5.3 Third‑Party Integrations
If you enable third‑party applications or integrations, you authorise BUZ to make Data available to those providers as required. BUZ is not responsible for any disclosure, modification, deletion, or loss of Data caused by third‑party providers.
5.4 Subprocessors
BUZ may use Subprocessors to provide the Service (for example, cloud hosting, monitoring, backups, email delivery). BUZ remains responsible for the performance of its Subprocessors to the extent required by law.
5.5 Feedback
If you provide BUZ with feedback, suggestions or ideas about the Service, you grant BUZ a perpetual, worldwide, royalty‑free right to use that feedback without restriction or compensation.
6. Security
BUZ applies reasonable administrative, technical and physical safeguards designed to protect the Service and Data.
You acknowledge no system is completely secure and BUZ does not guarantee the Service will be free from incidents.
You are responsible for securing login credentials and promptly notifying BUZ of any unauthorised access.
6.1 Security Incidents
If BUZ becomes aware of a Security Incident affecting your Data, BUZ will take reasonable steps to investigate, contain and remediate the incident.
BUZ may notify you where BUZ determines notification is reasonably necessary or where required by law. BUZ may request your cooperation in investigating suspicious activity.
7. Warranties and Disclaimers
The Service is provided on an “as is” and “as available” basis.
To the maximum extent permitted by law, BUZ excludes all warranties, express or implied, including fitness for purpose and uninterrupted availability.
You are responsible for determining whether the Service is suitable for your business and for complying with all applicable laws.
8. Limitation of Liability
To the maximum extent permitted by law, BUZ is not liable for any indirect, consequential or economic loss (including loss of profit, revenue, goodwill, business interruption, or loss of Data).
If BUZ is liable to you for any loss arising from the Service or these Terms, BUZ’s total aggregate liability is limited to the Access Fees paid by you in the 12 months preceding the event giving rise to the claim.
Nothing in these Terms excludes liability that cannot be excluded under applicable law.
9. Indemnity
You indemnify BUZ against claims, losses, liabilities, damages, costs and expenses (including reasonable legal costs) arising from:
(a) your breach of these Terms;
(b) misuse of the Service by you or Invited Users; or
(c) Data you upload that infringes the rights of another person or violates applicable law.
10. Termination
10.1 Cancellation by Subscriber
The Subscriber may cancel its subscription at any time by using the in‑application
cancellation function available at Settings → Organisation Details → Cancel Subscription,
or by giving written notice to BUZ where self‑service cancellation is not available.
10.2 Immediate Effect of Cancellation
Cancellation takes effect immediately upon completion of the cancellation process.
Upon cancellation:
- access to the Service is immediately terminated;
- the subscription is cancelled with no further recurring invoices generated;
- all Data associated with the Subscriber’s account is permanently deleted.
10.3 Data Deletion
By cancelling the subscription, the Subscriber acknowledges and agrees that all Data
will be permanently deleted and cannot be recovered.
The Subscriber is solely responsible for exporting or backing up any Data prior to cancellation.
10.4 Fees and No Refunds
Cancellation does not relieve the Subscriber of any obligation to pay Access Fees
already invoiced or incurred prior to cancellation.
Except where required by law, no refunds or credits are provided for any unused portion
of a billing period.
10.5 Termination by BUZ
BUZ may suspend or terminate access to the Service immediately if the Subscriber:
- breaches these Terms;
- fails to pay any fees when due;
- uses the Service unlawfully or in a way that creates a security or legal risk; or
- is required to be suspended or terminated by law.
11. No Professional Advice
The Service is provided for general business management purposes only.
BUZ does not provide legal, accounting, financial, tax or other professional advice.
You are responsible for obtaining independent professional advice and for all decisions made using the Service.
12. Support, Training and Availability
Support is provided via the Website and by email at support@buzsoftware.com.au.
BUZ aims to make the Service available 24/7, but availability may be affected by maintenance, updates, third‑party outages or events outside BUZ’s control.
Where practical, BUZ will provide notice of scheduled maintenance.
If you cancel a scheduled training session or meeting with less than 2 hours notice, BUZ may charge a one‑hour support fee at the then‑current support rate.
13. Promotions and Special Offers
Promotional Offers are subject to stated terms, available to new clients only, not transferable, and not retrospective.
New clients signing up between 1 May 2026 and 30 June 2026
receive three months free and up to ten hours of training.
Standard pricing applies thereafter.
14. General
14.1 Entire Agreement
These Terms constitute the entire agreement between you and BUZ and supersede prior discussions and understandings.
14.2 Assignment
You may not assign or transfer your rights or obligations under these Terms without BUZ’s prior written consent.
14.3 Force Majeure
Neither party is liable for delay or failure caused by events beyond reasonable control (excluding payment obligations).
14.4 Notices
Notices must be in writing. Notices to BUZ must be sent to support@buzsoftware.com.au. Notices to you will be sent to the email address associated with your account.
14.5 Severability
If any provision is invalid or unenforceable, it will be severed and the remainder will remain in effect.
14.6 Third‑Party Rights
A person who is not a party to this Agreement has no right to benefit under or enforce any term of this Agreement.
14.7 Governing Law
These Terms are governed by the laws of Australia and the parties submit to the jurisdiction of Australian courts.
By using BUZ, you acknowledge that you have read, understood, and agree to these Terms & Conditions.
